Charity Editors

These are the terms and conditions of GuideStar UK , registered office 16 Old Bailey, London, EC4M 7EG, Registered Charity No: 1097161, Company No. 04624500, V.A.T. registration number 839 5442 95. Please read these terms carefully. These terms and conditions supplement the general user terms and conditions ("the Terms") a copy of which can be navigated to from the link at the bottom of every web page and is appended below. The Terms set out the basis on which you are allowed to use this web site ("the Site"), the information contained within it and our services. They protect you as a user and charity editor of the Site and prevent the Site from being used for any illegal or unauthorised purposes.

By logging in as a charity editor with GuideStar UK, you agree to be bound by these Terms in respect of the matters described in the Terms. If you do not wish to be bound by these Terms you should not complete the log in process. If you are using this Site you agree to be bound by these Terms. These Terms apply to anyone using the Site and you are responsible for ensuring that employees or agents of your organisation are made aware of and comply with this.

General Use of the Site

You must not post any information on the Site which is or may be considered to be in breach of any obligations or duties of confidentiality, or in breach of any obligations you may have under the Data Protection Act 1998.

You must not use the Site to:

  • abuse, harass, stalk or threaten others;
  • advertise or offer to sell any goods or services (except as agreed with us in any further agreement we may make with you in writing), or conduct or forward surveys, contests or chain letters;
  • upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of our or any other computer;
  • upload files which contain an active hypertext link to another web site.

GuideStar UK shall be entitled at any time to:

  • alter the design or presentation of the Site without notice to you and without incurring any liability;
  • delete, remove or suspend the whole or any part of the Site, including any information that you provide, without notice to you and without incurring any liability;
  • block or withhold your access to the Site.

Information provided by you

You are solely responsible for any information submitted by you to our Site. You are responsible for ensuring that all information supplied by you is true, accurate, up-to-date and not misleading or likely to mislead or deceive and that it is not discriminatory, obscene or offensive, defamatory or otherwise illegal, unlawful or in breach of any applicable legislation, regulations, guidelines or codes of practice or the copyright, trade mark or other intellectual property rights of any person in any jurisdiction. You are also responsible for ensuring that all information, data and files are free of viruses or other routines or engines that may damage or interfere with any system or data prior to being submitted to this Site.

You are responsible for ensuring that you have obtained all necessary licences, consents, permissions, agreements, arrangements and other similar authorisations in relation to all of the information supplied by you.

GuideStar UK does not monitor the information supplied by you and accepts no responsibility or liability for such information. However GuideStar UK reserves the right in our absolute discretion to remove in whole or in part any information posted to the Site.

If no information is provided by you about your organisation, GuideStar UK reserves the right to post information it has obtained from regulatory bodies about your organisation on the Site.

Passwords

In order to log in to update your charity's entry you will need to use the password which we have provided to you. You are solely responsible for the security and proper use of your password, which should be kept confidential at all times and not disclosed to any unauthorised person. You must notify us immediately if you believe that your password is known to someone else or if it may be used in an unauthorised way. We accept no liability for any unauthorised or improper use or disclosure of any password.

Termination

We may terminate your log in and/or deny you access to the Site or any part of it including any services, goods or information available on or through the Site at any time in our absolute discretion and without any explanation or notification.


General Users

The information contained in the "Guidestar UK" section is general in nature, and is intended as a guide only to the types of work undertaken by GuideStar UK. Users are advised to consult GuideStar UK for specific information about the services we can provide.

Your use of our Site

You may only use this Site for lawful purposes when seeking information about registered charities. You must not under any circumstances seek to circumvent the security of the Site or any information submitted to or available through it. In particular, but without limitation, you must not seek to access, alter or delete any information to which you do not have authorised access; seek to overload the system via spamming or flooding; take any action or use any device, routine or software to crash, delay, damage or otherwise interfere with the operation of this Site or attempt to decipher, disassemble or modify any of the software, coding or information comprised in the Site.

Information submitted by you

We will use information supplied by you to aid us in providing our services to you. This involves us, amongst other things, processing and storing information. We may use third parties to help us process your information as part of providing our services to you. We may collect and aggregate data from the information supplied by you to help us to understand our users as a group so that we can provide you with a better service. We may also share aggregate information with selected third parties, without disclosing individual names or identifying information. You consent to us using information provided by you in each of these ways and for the purposes set out in our privacy policy.

Our liability

As a substantial amount of information is provided by third parties, GuideStar UK shall not be liable for the accuracy, completeness or appropriateness of any information. It is your responsibility to satisfy yourself that any information which you use from the Site is suitable for your own particular purposes. You assume full responsibility for using any information on the Site and you understand and agree that if you use information neither GuideStar UK nor its employees are responsible or liable for any claim, loss or damage arising from such use. We do not represent or warrant that the information accessible via this Site is accurate, complete or current nor that this Site or server will be available, accessible, uninterrupted, timely, secure or operate without error or that it will be free from viruses, bugs or other harmful elements.

We will not be liable for any loss, damage, expense, costs, delays or other liability whatsoever (including without limitation any financial losses such as loss of profit) which you may incur as a result of any event beyond our reasonable control (including without limitation any failure of transmission, communication, computer or other facilities or your inability to access the Site for any reason or any failure, error or delay in the sending or receiving of any notice or communication or instruction through the post or any electronic medium).

Nothing within these conditions operates so as to exclude, limit or restrict our liability for death or personal injury.

Where you deal as a consumer, nothing in the above exclusions affects your statutory rights.

You agree to indemnify us against all liabilities, claims and expenses that may arise from any breach of these terms by you, your employees or agents from any use of the Site or from any of the information submitted by you.

Intellectual Property

All intellectual property rights and goodwill in or relating to the contents of the Site belong to either ourselves or to our suppliers.

Nothing contained in these conditions or the Site should be construed as granting by implication, estoppel or otherwise, any licence or right to use any of the trade marks on the Site without our permission. You may not frame or link to the Site or any part of it without our express permission.

Changes to terms and conditions

We reserve the right to change the terms and conditions under which the Site is offered at any time. Any such change in terms and conditions will be effective once reflected in the text of these terms and conditions and published on this web page. You should check the terms and conditions periodically to ensure that you are aware of and complying with the current version.

Severance

If part, or all, of these terms and conditions become void the remaining part of them and any other provisions on the Site which shall form part of these terms and conditions will remain valid and enforceable.

Contracts (Rights of Third Parties) Act 1999

Except as expressly agreed in these terms and conditions a person who is not a party to the contract shall have no rights pursuant to the Contracts ( Rights of Third Parties ) Act 1999 ( the "Act" ) to enforce any term of the contract. Any right or remedy of a third party which exists or is available apart from the Act is not affected.

Choice of law and jurisdiction

The interpretation, construction, effect and enforceability of this agreement shall be governed by English Law, and you and we agree to submit to the exclusive jurisdiction of the English courts for the determination of disputes.
